Net worth exceeding $1 million (individually or jointly with a spouse), excluding the value of your primary residence
Hold certain professional certifications, designations, or credentials recognized by the SEC

Investor status must be verified before any subscription is completed. This website does not accept subscriptions.

The Process:

How to explore participation.

Step 1 — Submit an Inquiry

Complete the investor inquiry form. Include your investor type and general background. All inquiries are reviewed by the Ruiz & Nicholson team.

Step 2 — Introductory Conversation

Qualified inquiries lead to a brief introductory conversation with Ken or Enriqueta. This is not a pitch. It is a mutual fit conversation.

Step 3 — Review Materials

If there is mutual interest, we share the Private Placement Memorandum and supporting materials. The PPM is the controlling document for any investment.

Step 4 — Investor Verification

All prospective investors complete accredited investor verification before any subscription is executed.

Step 5 — Subscription

Subscriptions are executed through the PPM. Terms, structure, and disclosures are governed by the PPM — not by this website.

Publish specific projected returns, IRR, or cash flow claims on this website
